Nepal Rastra Bank Prompt Corrective Action Bylaws, 2074PCA Bylaws
Also called PCA Byelaw 2074, Prompt Corrective Action Bylaw, 2017
Nepal Rastra Bank bylaws that set graded, automatic corrective actions against a bank or financial institution whose capital fund ratio falls below the required minimum.
Key provisions
Legal basis: Made by the NRB Board under Section 110(2) of the NRB Act, 2058; approved by Board meeting No. 2/2074 on 2074/01/19. It repealed the PCA Bylaws, 2064 (Rule 12).
Capital fund ratio means the minimum total capital ratio excluding the conservation buffer under the Capital Adequacy Framework, 2015.
Rule 3: actions by size of the shortfall from the required minimum:
- Up to 25% short: discuss a correction programme with senior management, demand a recapitalisation plan, stop cash dividend and bonus shares, stop new branches, freeze increases in directors' allowances and senior management pay.
- 25-50% short: the above plus caps on total deposits and lending, no new business activities, NRB approval for new fixed assets, no increase in staff incentives.
- 50-75% short: the above plus no new deposit accounts, no growth in lending or new loans, freeze on staff pay increases and recruitment; action under NRB Act Section 100(2) against directors and the CEO if capital is not restored within 6 months.
- More than 75% short: declare the institution problematic and act under NRB Act Section 86; if not restored within 6 months, start merger or acquisition, cancel the licence or begin liquidation.
Rule 4: some actions can be relaxed for institutions under government-led restructuring, under direct NRB control, or that have applied for in-principle merger approval.
Rule 6: the supervision department acts for tier (a); the Governor on the Policy Directive Implementation Committee's recommendation for tiers (b) and (c); the Board for tier (d).
Example
If the required minimum ratio is 10% and a bank reports 7.5%, the shortfall is 25% of the minimum, so it falls in the first tier: no cash dividend, no bonus shares and no new branches until capital is restored.
In Nepal
NRB uses these bylaws against weak institutions; for example, in April 2025 it placed Janaki Finance under PCA under Rule 3(c) for failing to maintain the minimum capital adequacy ratio, and also acted against Pokhara Finance.
