Pari Passu Charge
Also called Pari passu, Pari-passu security
Pari passu means "on an equal footing": lenders sharing a pari passu charge have equal rights over the same security, and recoveries are shared in proportion to their loans.
Explained
In consortium and loose-consortium lending, all participating banks usually hold the borrower's assets under a pari passu charge, so no single bank has priority. When collateral is sold, each bank gets a share in proportion to its exposure.
Where it appears in NRB rules
- A loose consortium is defined as a loan by two or more banks to one project where security is maintained through a pari passu arrangement, without forming a consortium group.
- Short-term working capital loans under a pari passu agreement that are not renewable in nature are exempt from the watchlist rule for loans not renewed within a month.
The opposite is a first charge / second charge arrangement, where one lender is repaid first from the security and the second lender only from what remains.
