Margin Lending
Also called Margin loan, Share loan, Loan against shares
Margin lending is a loan given against listed shares pledged as security, where the bank lends only a part of the share value and asks for more security if prices fall.
Explained
The difference between the share value and the loan is the borrower's margin. If share prices fall and the margin shrinks, the bank makes a margin call; if the borrower does not add security, the bank sells the shares.
NRB rules (Unified Directive 2082, point 18 of Directive 2)
- Shares must be valued at the lower of the 180-trading-day average closing price published by NEPSE and the current market price; the loan can be at most 70% of that value. Re-valuing pledged shares to raise the limit is not allowed.
- Tenure is at most one year; renewal is allowed if all interest is paid and the loan is regular.
- Total margin-type lending is capped at 40% of core capital (of the previous quarter); any excess is deducted from core capital.
- No loans against shares of problem BFIs, negative net worth companies, delisted companies, those without final audit within a year, loss-making for three years, operating for less than a year, without AGM for three years or traded on fewer than 250 days.
- Margin-type loans cannot be restructured or rescheduled.
- Banks may not take over their own shares to recover loans.
In Nepal
ShareSansar (15 July 2026) reported that NRB later allowed up to 10 extra percentage points (up to 80%) for shares of highly rated listed companies assessed under a published product paper. Monetary Policy 2083/84 said share-loan limits would be set according to the strength of each institution. These 80% figures could not be found in NRB Circulars 1 to 4 of FY 2083/84, so the limit shown here stays at the Unified Directive 2082 level until the amending circular is confirmed.
