Equity Share (Ordinary Share)

Features:

• Ownership and control: shareholders elect the board at the annual general meeting.
• Variable return: dividends (cash or bonus shares) depend on profit and board decisions; there is no fixed return.
• Residual claim: paid last in liquidation, after creditors, debenture holders and preference shareholders.
• Limited liability: loss is limited to the amount invested.
• Permanent capital: not repaid during the company's life; investors exit by selling on the stock exchange.

Values: face (par) value, book value per share, and market price.

In Nepal: most listed companies have Rs 100 par value shares; shares are held in demat form at CDSC and traded on NEPSE. Bank shares form a large part of NEPSE's market capitalisation. Shareholders of banks are split into promoter and public groups under the Bank and Financial Institution Act, 2073.

• सीमित दायित्व: नोक्सानी लगानी गरेको रकमसम्म मात्र।
• स्थायी पुँजी: कम्पनी रहँदासम्म फिर्ता हुँदैन; लगानीकर्ता धितोपत्र बजारमा बेचेर बाहिरिन्छन्।

मूल्य: अङ्कित मूल्य, प्रतिशेयर किताबी मूल्य र बजार मूल्य।

नेपालमा: धेरैजसो सूचीकृत कम्पनीको शेयरको अङ्कित मूल्य रु १०० हुन्छ; शेयर CDSC मा डिम्याट रूपमा रहन्छ र नेप्सेमा किनबेच हुन्छ। बैंक तथा वित्तीय संस्था सम्बन्धी ऐन, २०७३ अनुसार बैंकका शेयरधनी संस्थापक र सर्वसाधारण समूहमा विभाजित हुन्छन्।
