Bonus Share
Also called Stock Dividend, Capitalisation Issue
A bonus share is a free additional share given to existing shareholders by capitalising the company's accumulated profits or reserves, in proportion to their holdings.
Explained
Features:
- no cash is paid by shareholders or the company; reserves are transferred to paid-up capital;
- the number of shares rises, but each shareholder's percentage ownership stays the same;
- the market price adjusts downward on book closure.
Adjusted price after bonus = market price before book closure / (1 + bonus ratio). For a 20% bonus, divide by 1.2.
Why companies issue bonus shares: to retain cash while rewarding shareholders, to increase paid-up capital (common for Nepali banks meeting capital requirements), and to make shares more affordable by lowering the price per share.
Rules in Nepal: bonus shares require approval of the general meeting, and BFIs need NRB approval for dividends. A BFI that does not meet the minimum capital requirement cannot declare cash dividends or bonus shares. Tax on bonus shares is withheld as per the Income Tax Act.
Example
A share trading at Rs 600 gets a 20% bonus. Adjusted price = 600 / 1.2 = Rs 500. A holder of 100 shares now has 120 shares worth the same Rs 60,000.
- शेयरधनी वा कम्पनीले नगद तिर्दैनन्; जगेडा चुक्ता पुँजी मा सार्छ;
- शेयर संख्या बढ्छ, तर प्रत्येक शेयरधनीको स्वामित्व प्रतिशत उही रहन्छ;
