Corporate Governance
Also called Good Governance in Banks
Corporate governance is the system of rules, structures and practices by which a company is directed and controlled, defining the roles of the board, management, shareholders and other stakeholders.
Explained
Its core principles are accountability, transparency, fairness and responsibility. For banks it matters more because they use public deposits.
In Nepal it is set mainly by the Bank and Financial Institution Act, 2073 and NRB's Directive 6 (Corporate Governance). Highlights of Directive 6:
- Directors' code of conduct: sign a commitment, disclose financial interests before taking charge, do not interfere in day-to-day management, avoid conflicts of interest, keep customer information confidential, and do not hold director or official posts in another licensed BFI, savings and credit cooperative or insurance business at the same time.
- Board committees (under BAFIA Sections 22, 26, 27, 60 and 61), coordinated by directors: Audit Committee, Risk Management Committee, Employee Service Benefit Committee and AML/CFT Committee. The board chair may not sit on any of them, and one director may not coordinate two committees.
- The board sets risk appetite and tolerance limits and is ultimately responsible for risk management (Directive 5).
