Audit Committee

Legal basis: the Bank and Financial Institution Act, 2073 and NRB Directive 6, point 7.

Composition:

• formed under a non-executive director as coordinator;
• the head of the internal audit department is member-secretary;
• three members (other committees may have 3 to 5 including invited experts);
• the chief executive cannot be a member, but may be invited when needed;
• the board chair may not sit on any internal committee.

Functions:

• periodically review the overall financial condition, internal control, audit plan and issues raised by internal audit, and direct management to act;
• give internal and external auditors direct access to the committee;
• evaluate the performance of the internal audit head and staff;
• report to the board, which discusses the committee's and auditors' reports in detail.

गठन:

• गैर-कार्यकारी सञ्चालक को संयोजकत्वमा;
• आन्तरिक लेखापरीक्षण विभागका प्रमुख सदस्य-सचिव;
• ३ जना सदस्य (अन्य समितिमा आमन्त्रित विज्ञसहित ३ देखि ५ जना);
• प्रमुख कार्यकारी अधिकृत सदस्य हुन नपाउने, आवश्यक परे आमन्त्रित गर्न सकिने;
• सञ्चालक समितिका अध्यक्ष कुनै आन्तरिक समितिमा बस्न नपाउने।

काम:

• समग्र वित्तीय अवस्था, आन्तरिक नियन्त्रण, लेखापरीक्षण योजना र आन्तरिक लेखापरीक्षणले औंल्याएका विषयको आवधिक समीक्षा गरी व्यवस्थापनलाई निर्देशन दिने;
• आन्तरिक र बाह्य लेखापरीक्षकको समितिमा सिधा पहुँच;
• आन्तरिक लेखापरीक्षण प्रमुख र कर्मचारीको कार्यसम्पादन मूल्याङ्कन;
• सञ्चालक समितिमा प्रतिवेदन पेश गर्ने।
