Initial Public OfferingIPO
Also called Public Issue,
An IPO is the first sale of a company's shares to the general public, after which the company becomes publicly held and its shares can be listed on the stock exchange.
Explained
Process in Nepal:
- The public company appoints a merchant banker as issue manager and gets a credit rating where required.
- It registers the securities and gets approval of the prospectus from SEBON under the Securities Act, 2063.
- The issue opens for a set period; investors apply through C-ASBA at banks or online via Mero Share, with a DEMAT account and the amount blocked in their bank account.
- If oversubscribed, shares are allotted by lottery or pro rata under SEBON rules; unallotted amounts are unblocked.
- Allotted shares are credited electronically to demat accounts by CDSC, and the shares are listed on NEPSE for secondary trading.
Portions may be reserved for project-affected locals, Nepalis working abroad, employees and mutual funds as per rules.
Purpose: raise equity for expansion, meet minimum public shareholding requirements and give early investors liquidity. For investors, IPOs in Nepal are usually issued at par value (Rs 100), though book-building is also allowed for some issuers.
