Insider Trading

Legal basis in Nepal: the Securities Act, 2063.

• Section 91 prohibits a person from trading securities, or getting others to trade, using non-public information that may affect the price.
• Section 92 lists persons who may be insiders: directors, officers, employees, auditors, advisers, major shareholders, and their close relatives or associates who have access to such information.
• Section 93 explains when information is considered public.
• Sections 94-99 prohibit related market abuses: fictitious transactions, price manipulation, influencing the market, misleading statements and fraudulent dealing.
• Section 101 sets penalties.

Why it is harmful: insiders gain at the expense of ordinary investors, undermining fairness and trust in the market.

Examples of price-sensitive information: unpublished profits, dividend or bonus decisions, mergers and acquisitions, large contracts, or regulatory action.

• दफा ९१ ले सार्वजनिक नभएको र मूल्यमा असर पार्न सक्ने सूचना प्रयोग गरी धितोपत्र किनबेच गर्न वा गराउन निषेध गरेको छ।
• दफा ९२ ले भित्री कारोबारमा संलग्न हुन सक्ने व्यक्ति तोकेको छ: सञ्चालक, पदाधिकारी, कर्मचारी, लेखापरीक्षक, सल्लाहकार, ठूला शेयरधनी र त्यस्तो सूचनामा पहुँच भएका नातेदार वा सम्बद्ध व्यक्ति।
• दफा ९३ ले सूचना सार्वजनिक भएको कहिले मानिने भनेको छ।
• दफा ९४-९९ ले झुटो कारोबार, मूल्यमा उतारचढाव, बजार प्रभावित पार्ने, झुक्याउने विवरण र जालसाजीपूर्ण कारोबार निषेध गरेका छन्।
• दफा १०१ मा सजाय छ।

हानि: भित्रियाले सामान्य लगानीकर्ताको मूल्यमा फाइदा लिन्छन्, जसले बजारको निष्पक्षता र विश्वास घटाउँछ।

मूल्य संवेदनशील सूचनाका उदाहरण: अप्रकाशित नाफा, लाभांश वा बोनसको निर्णय, गाभ्ने-गाभिने, ठूला सम्झौता वा नियामकीय कारबाही।
