Escrow Service
Also called Escrow Account
An escrow service is an arrangement in which a neutral third party, often a bank, holds money or documents until agreed conditions between buyer and seller are fulfilled.
Explained
Escrow reduces counterparty risk when two parties do not fully trust each other. The buyer deposits the payment with the escrow agent; the seller delivers the goods, services or documents; and once the agreed conditions are verified, the escrow agent releases the funds to the seller. If conditions are not met, funds are returned according to the agreement.
Common uses include:
- Real estate transactions, where the price is held until ownership transfer is registered.
- Mergers and acquisitions and share purchase deals.
- Project and infrastructure finance, where project revenues flow into an escrow account and are applied in a fixed order (for example debt service before dividends).
- Online marketplaces, where payment is released after the buyer confirms delivery.
- Foreign investment, where funds are held pending regulatory approvals.
Banks in Nepal offer escrow accounts under a tripartite agreement among the bank and the two parties. The bank acts as a trustee and follows only the written instructions in the agreement, charging a fee for the service.
